1. Acceptance of terms
These Terms & Conditions (“Terms”) form a binding agreement between [Company Name] (“AcadFlows”, “we”, “us”) and the institution or person who accesses or uses our website or the AcadFlows platform (“you”, “Customer”). By accessing the website, requesting a demo, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Definitions
- Service — the AcadFlows school operations software, mobile apps, APIs and related services.
- Customer Data — data you or your authorised users submit to the Service, including student, staff and parent records.
- Order / Subscription — the plan, term and pricing agreed between you and us.
3. Eligibility & accounts
You must be authorised to bind your institution and be capable of forming a contract under the Indian Contract Act, 1872. You are responsible for safeguarding account credentials and for all activity under your accounts. Notify us promptly of any unauthorised use.
4. The Service & licence
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service during your Subscription term for your internal institutional purposes. We may update, improve or modify the Service from time to time.
5. Customer data & responsibilities
As between the parties, you own and are responsible for your Customer Data and for the legal basis to provide it to us, including obtaining any consents required (for example, parental consent for children's data). We process Customer Data only as described in our Privacy Policy and Data Processing Agreement.
6. Acceptable use
You agree to use the Service in accordance with our Acceptable Use Policy and all applicable laws. You must not misuse, reverse-engineer, overload, or attempt to gain unauthorised access to the Service.
7. Fees, billing & taxes
Fees are set out in your Order and are typically charged on a per-student basis. Unless stated otherwise, fees are exclusive of GST and other applicable taxes, which you are responsible for paying. Metered usage (such as WhatsApp, SMS and voice) is billed in addition. Late payments may incur interest and/or suspension.
8. Cancellation & refunds
Cancellations and refunds are governed by our Cancellation & Refund Policy, which forms part of these Terms.
9. Intellectual property
The Service, including all software, design, and trademarks, is and remains our property or that of our licensors. No rights are granted except as expressly stated. You retain all rights in your Customer Data.
10. Third-party services
The Service may integrate with third-party services (e.g. payment gateways, messaging providers). Your use of those services is subject to their terms, and we are not responsible for them.
11. Warranties & disclaimers
We provide the Service with reasonable skill and care and will use commercially reasonable efforts to meet the availability commitments in your Order. Except as expressly stated, the Service is provided “as is” and we disclaim all other warranties to the maximum extent permitted by law.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages. Our aggregate liability arising out of or relating to the Service shall not exceed the fees paid by you to us in the [twelve (12)] months preceding the event giving rise to the claim.
13. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your Customer Data, your breach of these Terms, or your violation of applicable law.
14. Term & termination
These Terms apply for the duration of your Subscription. Either party may terminate for material breach not cured within [30] days of notice. On termination, your right to use the Service ceases and we will make Customer Data available for export for [30] days, after which it may be deleted.
15. Governing law & disputes
These Terms are governed by the laws of India. Subject to applicable law, the courts at [City, State] shall have exclusive jurisdiction. The parties will first attempt to resolve disputes amicably.
16. Changes
We may revise these Terms from time to time. Material changes will be posted here with a revised “Last updated” date and, where required, notified to you.
